Corporate Code of Conduct
Flextronics strives to ensure that the ethics and integrity of its employees, officers and Board members is beyond reproach. While business practices and laws vary from region to region, and each individual who works for Flextronics is unique, certain standards and responsibilities are shared wherever it does business.
The Code of Conduct educates employees, officers, and Board members on our standards of business conduct and provides guidelines to assist them in resolving ethical questions.
Amendment to Code of Business Conduct and Ethics
On July 24, 2009, the Audit Committee of the Board of Directors of Flextronics International Ltd. (the “Company”) amended and restated the Company’s Code of Business Conduct and Ethics (the “Code”). The material amendments to the Code are as follows:
- Discussion of the gift and entertainment policy was expanded to provide more guidance on the distinction between customary business amenities and inappropriate gifts.
- A policy statement was added to the conflict of interest section to provide that employees should avoid direct or indirect supervisory relationships with family and other individuals with whom they have a close personal relationship.
- A data privacy policy was added to clarify the commitment of the Company and its employees to handle personal information of employees and other Company stakeholders responsibly and in accordance with applicable laws.
- More detailed guidance was provided concerning the insider trading policy.
- More values statements were incorporated to emphasize the interrelationship between the Code and the Company’s corporate values and culture. The style, tone and organization of the Code were enhanced to improve the presentation of the Code.

Electronic Industry Code of Conduct
The Electronic Industry Code of Conduct outlines standards to ensure that working conditions in the electronics industry supply chain are safe, that workers are treated with respect and dignity, and that manufacturing processes are environmentally responsible.
Considered as part of the electronics industry for purposes of this Code are Original Equipment Manufacturers (OEMs) and Electronic Manufacturing Services (EMS) firms, including contracted labor that may design, market, manufacture and/or provide goods and services that are used to produce electronic goods. The Code may be voluntarily adopted by any business in the electronics sector and subsequently applied by that business to its supply chain and subcontractors.
